Explanation of Responses:

1. Sale of a total of 1,077 shares of common stock was made in order to satisfy Mr. Madison's income tax withholding obligation upon the vesting of 2,823 shares of restricted stock on January 4, 2017. Mr. Madison had no discretion with respect to such sale, which was transacted automatically in accordance with the Issuer's corporate policies regarding the vesting of restricted stock.
