The Reporting Person was awarded 103,000 shares of restricted common stock in connection with his service as an executive officer of the Issuer, which shares vest in four equal annual installments beginning March 26, 2023, so long as the Reporting Person's service as an employee of the Issuer is continuous from the Grant Date through the applicable anniversary thereof.
