Explanation of Responses:

1. The Reporting Person was awarded 10,000 shares of restricted common stock in connection with his service as an executive officer of the Issuer, which shares vest in four equal annual installments beginning January 7, 2022, so long as the Reporting Person's service as an employee of the Issuer is continuous from the Grant Date through the applicable anniversary thereof.

2. Becomes exercisable in equal monthly installments over 48 months beginning one month after the vesting commencement date of January 7, 2021, so long as the Reporting Person's service as an employee of the Issuer is continuous from the Grant Date through the applicable vesting date.
