| 1. On August 4, 2016, CHP II Advisors, LLC granted 12,500 restricted stock units ("RSUs") to the Reporting Person. Each RSU will, upon vesting, be settled in one share of Class A common stock of CNL Healthcare Properties II, Inc. The RSUs are subject to specified vesting and settlement provisions. The shares reported in this box include 3,193 shares of Class A common stock which vested on September 1, 2017, and approximately 8,792 RSUs awarded to the reporting person that are subject to specified vesting and settlement provisions. Share amounts presented include additional shares acquired through distribution reinvestment. 1,203 shares were withheld to satisfy tax liability in connection with the September 1, 2017 vesting of the restricted stock units. |
