Explanation of Responses:

1. These securities are owned directly by Deerfield Partners, L.P.

2. These securities are owned directly by Deerfield International Master Fund, L.P. (collectively with Deerfield Partners, L.P., the "Funds").

3. This Form 3 is being filed by the Funds (the "Reporting Persons"). Deerfield Mgmt, L.P. is the general partner of the Funds. Deerfield Management Company, L.P. is the investment manager of the Funds. James E. Flynn is the sole member of the general partner of each of Deerfield Mgmt, L.P. and Deerfield Management Company, L.P. James E. Flynn, Deerfield Mgmt, L.P. and Deerfield Management Company, L.P. have previously filed a Form 3 in respect of the Issuer on February 10, 2016 with, and in respect of shares held by Deerfield Special Situations Fund, L.P. and Deerfield Private Design Fund III, L.P. The Funds may be deemed to be members of a Section 13(d) "group" with the reporting persons under such previously filed Form 3.
