1. The price represents a weighted average. The shares were purchased in multiple transactions at prices ranging from $21.13 to $22.23, inclusive. Mr. Booth will provide, upon request of the SEC staff, Mallinckrodt plc or a shareholder of Mallinckrodt plc complete information regarding the number of shares purchased at each price within the range.

2. Includes 581 shares previously owned directly which were contributed to the Melvin D. Booth Revocable Trust.
