Item 1. Description of Registrant’s Securities to be Registered.
The class of securities to be registered hereby is the common stock, par value $0.001 per share (the “Common Stock”), of PetroShare Corp., a Colorado corporation (the “Registrant”). A description of the Common Stock is set forth under the caption “Description of Capital Stock” in the prospectus included in the Registrant’s Registration Statement on Form S-1 (Registration No. 333-213113), initially filed with the Securities and Exchange Commission on August 12, 2016 under the Securities Act of 1933, as amended, and will be set forth in any prospectus filed in accordance with Rule 424(b) thereunder.
