1. Represents restricted shares of Class A common stock of American Finance Trust, Inc. (the "Registrant") issued pursuant to the 2018 Omnibus Incentive Compensation Plan of the Registrant, which vest on April 12, 2022.

2. The securities are held in the account of a limited liability company in which the reporting person and her spouse are both managing members. The reporting person and her spouse are the sole owners of the limited liability company. The reporting person disclaims ownership of these securities except to the extent of her pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership for purposes of Section 16 or for any other purpose.
