Explanation of Responses:

1. Represents 14,500 unvested Equity Participation Units granted to the Reporting Person which vest on January 1, 2020.

2. The Reporting Person indirectly owns the Common Units under trust agreement dated 8/27/2013, for which the Reporting Person serves as Trustee. The Reporting Person disclaims beneficial ownership of the Common Units reported herein except to the extent of his pecuniary interest therein.
