On February 4, 2016, KCGA Americas LLC (“KCGA”), a wholly-owned subsidiary of KCG Holdings, Inc., entered into an Asset Purchase Agreement (the “Agreement”) with Citadel Securities LLC (“Citadel”), pursuant to which KCGA agreed to sell its New York Stock Exchange Designated Market Maker business (the “DMM”) to Citadel. The transaction is expected to close during the second quarter of 2016, with the symbol rights and KCGA employees associated with the DMM expected to transfer to Citadel over a transition period beginning at closing.
