Explanation of Responses:

1. Transactions executed in accordance with a Rule 10b5-1 trading plan established on February 2, 2015.

2. Represents the sale of 51,312 shares in multiple transactions at prices ranging from $13.38 to $13.49 per share, resulting in a weighted average sale price per share of $13.44. The reporting person undertakes to provide the SEC, the Issuer, or any security holder of the Issuer, upon request, full information pertaining to the number of shares sold at each price.

3. These shares of Class A Common Stock are held directly by the Daniel V. Tierney 2011 Trust ("Trust"). The sole trustee of the Trust is Emma Cuadrado, who holds voting and dispositive power over the securities held by the Trust and disclaims beneficial ownership of such securities. Daniel V. Tierney, a director of KCG Holdings, Inc., is the settlor and sole beneficiary of the Trust, but does not have or share investment control with respect to the securities held by the Trust.

4. Represents the sale of 98,947 shares in multiple transactions at prices ranging from $13.41 to $13.56 per share, resulting in a weighted average sale price per share of $13.46. The reporting person undertakes to provide the SEC, the Issuer, or any security holder of the Issuer, upon request, full information pertaining to the number of shares sold at each price.
