Explanation of Responses:

1. 15,000 shares, granted under Stock Award III on May 1, 2015 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in five equal annual installments commencing on May 1, 2016.

2. Since the reporting person's last report 2,000 shares and 3,000 shares previously held by Stock Award and Stock Award II, respectively, have vested and are now owned directly.

3. This form reflects increases in beneficial ownership resulting from dividend reinvestment pursuant to Rule 16a-11.

4. The remaining 6,000 shares, granted under Stock Award on March 4, 2013 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in three equal annual installments commencing on March 4, 2016.

5. The remaining 12,000 shares, granted under Stock Award II on January 10, 2014 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in four equal annual installments commencing on January 10, 2016.
