Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Alere common stock.

2. On February 16, 2016 the reporting person was granted 7,500 restricted stock units which vest as follows: one-third on the first anniversary of the grant date (2/16/17); one-third on the second anniversary of the grant date (2/16/18); and one-third on the third anniversary of the grant date (2/16/19).

3. On February 16, 2016 the reporting person was granted 21,706 restricted stock units which vest as follows: one-third on the first anniversary of the grant date (2/16/17); one-third on the second anniversary of the grant date (2/16/18); and one-third on the third anniversary of the grant date (2/16/19).

4. These securities are owned by the Cramp Family Trust for which the reporting person and her spouse are the trustees.
