(b) On October 31, 2015, Joey S. Stone notified NanoFlex Power Corporation (the “Company”) that he will resign as the Company’s Senior Vice President of Corporate Development effective immediately. Mr. Stone’s resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
