Explanation of Responses:

1. The 11,000 shares are held by Richards Sachs Investment Partners LLC, a limited liability company, of which the reporting person is the sole manager and a beneficiary.

2. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $18.45 to $18.50, inclusive. The Reporting Person undertakes to provide to Ares Multi-Strategy Credit Fund, Inc., any security holder of Ares Multi-Strategy Credit Fund, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in footnote (2) to this Form 4.

3. Of these shares, 645 shares are held directly by a David A. Sachs IRA, 123 shares are held by David A. Sachs in his spouse's IRA account, 5,000 shares are held by David A. Sachs in a joint account, 2,500 shares are held by a David A. Sachs IRA and 122 shares are held by the Sachs Revocable Trust dated 3-12-97.

4. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $18.48 to $18.59, inclusive. The Reporting Person undertakes to provide to Ares Multi-Strategy Credit Fund, Inc., any security holder of Ares Multi-Strategy Credit Fund, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in footnote (4) to this Form 4.

5. Of these shares, 3,000 shares are held directly by a David A. Sachs IRA, 500 shares are held by David A. Sachs in his spouse's IRA account, 5,000 shares are held by David A. Sachs in a joint account, 2,500 shares are held by a David A. Sachs IRA and 2,100 shares are held by the Sachs Revocable Trust dated 3-12-97.
