Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
5.02(b). Effective July 21, 2014, James W. Fletcher was appointed as the President, Northern California Division of UCP, Inc. (the “Company”) and ceased serving as the Chief Operating Officer of the Company as of such date. The Northern California Division encompasses the Company’s operations in the South San Francisco Bay and the Monterey Bay areas of California. This change is part of a revision to the Company’s management structure designed to support the Company’s evolving business and growth strategies. There has been no disagreement between the Company and Mr. Fletcher on any matters relating to the Company’s operations, policies or practices.
