Explanation of Responses:

1. Mr. Lori elected to receive his annual fee for his service as a director of the issuer in restricted stock units of the issuer pursuant to the UCP, Inc. 2013 Long-Term Incentive Plan. Mr. Lori received 10,883 restricted stock units, which will vest as follows: 1/4 on August 5, 2016, 1/4 on November 4, 2016, 1/4 on February 3, 2017 and 1/4 on May 4, 2017. The restricted stock units are to be settled for an equal number of shares of Class A common stock upon vesting.
