Explanation of Responses:

1. On November 6, 2019, pursuant to a plan of disposition adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934 on May 7, 2019, Ms. Cheung exercised stock appreciation rights ("SARS") granted on January 26, 2010 vesting in four equal annual installments beginning January 26, 2011 and expiring on January 26, 2020.

2. Reflects 3,681 shares of common stock utilized to cover the exercise price of the above listed SARs award by the Reporting Person on November 6, 2019.

3. On November 8, 2019, pursuant to a plan of disposition adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934 on May 7, 2019, Ms. Cheung sold 20,000 shares in multiple trades ranging from $59.00 to $60.40, a portion of which sale covered the tax liability associated with the SARs exercise. The price reported above reflects the weighted average sale price. Ms. Cheung undertakes to provide the Securities and Exchange Commission staff, the issuer or any security holder of the issuer, upon request, full information regarding the number of shares and prices at which the transactions were effected.
