Item 8.01. Other Events.
On October 1, 2018, HD Supply Holdings, Inc. issued a press release announcing that its indirect wholly-owned subsidiary, HD Supply, Inc. (“HD Supply”), has priced $750,000,000 aggregate principal amount of 5.375% Senior Notes due 2026 (the “Notes”). The Notes have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
A copy of the press release is filed as Exhibit 99.1 and is incorporated herein by reference.
