Explanation of Responses:

1. The Reporting Person was granted 31,847 Restricted Stock Units ("RSUs") under the Jones Energy, Inc. 2013 Omnibus Incentive Plan (the "Plan") on October 1, 2014. Such RSUs vest in equal installments of 50% on each of December 31, 2015 and December 31, 2016.

2. The Reporting Person was granted 31,588 RSUs under the Plan on April 29, 2015. Such RSUs vest in equal installments of 33 1/3% on each of April 1, 2016, April 1, 2017 and April 1 2018.
