Item 4.01. Changes in Registrant’s Certifying Accountant.
(b) Engagement of New Independent Registered Public Accounting Firm.
On June 28, 2018, the Audit Committee (the “Audit Committee”) of the Board of Directors of Jones Energy, Inc. (the “Company”), after conducting a competitive selection process, recommended to the Board of Directors that Grant Thornton LLP (“Grant Thornton”) be appointed as the Company’s independent registered public accounting firm for the year ending December 31, 2018. Grant Thornton was formally engaged on June 29, 2018.
During the Company’s fiscal years ended December 31, 2017 and 2016 and during the subsequent interim period from January 1, 2018 through June 29, 2018, neither the Company nor anyone on its behalf has consulted with Grant Thornton on any matter that (i) involved the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, in each case where a written report was provided or oral advice was provided that Grant Thornton concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (ii) was either the subject of a “disagreement”, as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K, or a “reportable event”, as that term is defined in Item 304(a)(1)(v) of Regulation S-K.
