Explanation of Responses:

1. The filing amends the prior Form 4 to report these transactions that were inadvertently omitted and restates the holding reflected in column 5 of Table 1 included in the prior Form 4. Furthermore, the amended holding reflected in column 5 of Table 1 is deemed to amend all subsequent filings prior to March 25, 2021.

2. Withholding of shares of common stock to satisfy tax withholding obligations in connection with the vesting of previously awarded shares of restricted stock pursuant to a grant under the Issuer's 2013 Equity Incentive Plan.

3. The reporting person acquired the shares pursuant to a grant under the Issuer's 2013 Equity Incentive Plan. Such shares vest in three (3) equal annual installments on the anniversary of the date of grant, subject to forfeiture upon the occurrence of certain events specified in the agreement underlying such grant.
