On February 25, 2016, Ashford Hospitality Prime, Inc. (the “Company”) issued a press release announcing that the Company filed suit on February 25, 2016 against Sessa Capital (Master), L.P., Sessa Capital GP, LLC, Sessa Capital IM, L.P., Sessa Capital IM GP, LLC and Sessa’s proposed director nominees, John E. Petry, Philip B. Livingston, Lawrence A. Cunningham, Daniel B. Silvers and Chris D. Wheeler. A copy of the press release is furnished herewith as Exhibit 99.1.
