| 1. Warrants issued as additional consideration for a loan made by Mr. Smith to the Company in the amount of $500,000. Pursuant to the Promissory Note with the Company, in addition to the warrants, Mr. Smith shall receive interest on the loan at a rate per annum of 8.5%, payable quarterly. The Loan shall be repaid in full by the Company, plus all unpaid interest, by July 16, 2016. |
