This sale was executed pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on February 25, 2022 to cover the Reporting Person's tax obligations in connection with the vesting of 3,600 shares of Common Stock underlying the Reporting Person's RSUs as previously reported on the Form 4 filed by the Reporting Person on June 16, 2022.
