On February 22, 2021, The New Home Company Inc., a Delaware corporation (the “Company”) issued a press release announcing that it had commenced a private tack-on offering (the “Offering”) of $35.0 million aggregate principal amount of senior notes due 2025 (the “2025 Notes”). The 2025 Notes are an additional issuance of our existing 7.25% Senior Notes due 2025 and will be issued under the indenture dated as of October 28, 2020 (the “Indenture”), pursuant to which we previously issued $250,000,000 in aggregate principal amount of 7.25% Senior Notes due 2025 (the “Existing 2025 Notes”). The 2025 Notes have identical terms as the Existing 2025 Notes other than with respect to the date of issuance and issue price. The 2025 Notes, together with the Existing 2025 Notes, will be treated as a single class for all purposes under the Indenture. The Company intends to use the net proceeds from the Offering for general corporate purposes, including land acquisition, investment in new markets and working capital, and to pay fees and expenses in connection with the Offering. In accordance with Rule 135c of the Securities Act of 1933, as amended (the “Securities Act”), a copy of this press release is being filed as Exhibit 99.1 to this report and, accordingly, this report is not intended to and does not constitute an offer to sell or a solicitation for an offer to purchase any securities of the Company.
The 2025 Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any applicable state securities laws.
