Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 10, 2013, Mr. Mark A. Stevens was appointed to the Board of Directors of Athlon Energy Inc. (“Athlon”) and a member of Athlon’s Audit Committee. In accordance with Athlon’s independent director compensation policy, Mr. Stevens will receive compensation of $40,000 per year plus $10,000 as a member of the Audit Committee. In addition, Mr. Stevens will be granted 7,500 restricted stock units vesting in equal annual installments over three years.
Mr. Stevens has been determined to be an independent director for purposes of the listing standards of the New York Stock Exchange.
