LOANFORGIVENANDGENERALRELEASEAGREEMENT
BojanaBanjac,onbehalfofherself,aswellasonbehalfofherheirs,personalrepresentativesandassignsandeachofthem,forgoodandvaluableconsiderationthereceiptandsufficiencyofwhichisherebyacknowledged,andintendingtobelegallyboundhereby,doesherebyforgivethatcertainloaninanamountof$6,623loanedtoBLUEFASHIONCORP.(the“Company”)asofJuly4,2014andfurtherremise,releaseandforeverdischargetheCompanyanditspastandpresentofficers,directors,employees,agents,subsidiaries,divisions,predecessors,successorsandassigns(collectively,“CompanyReleasees”),ofandfromanyandallmannerofactions,causesofaction,suits,debts,accounts,bonds,covenants,agreements,understandings,contracts,controversies, judgments, damages,claims,liabilities, anddemandsof anykindornaturewhatsoever,whethersuchbepresentlyknownorunknownorsuspectedorunsuspected,whetherinlaworinequity(“Claims”)whichagainsttheCompanyReleaseesor anyofitspastor presentofficers,directors,employees,agents,subsidiaries,affiliates,divisions,predecessors,successorsorassignseverhad,nowhave,claimedtohavehad,nowclaimtohave,or hereaftercan,shallormay claimto haveforor byreasonof anycause, matterorthingwhatsoever,fromthebeginningoftheworldtothedateoftheexecutionofthisLoanForgivenandGeneralReleaseAgreement,foranyClaimsarisingoutof,relatingto,orbasedupontheLoan.
TheundersignedherebydeclareandwarrantthatthetermsofthisLoanForgivenandGeneralReleaseAgreementhavebeencompletelyread;thattherearenootherwrittenororalunderstandingsoragreements,directlyorindirectlyconnectedwiththisLoanForgivenandGeneralReleaseAgreement,otherthanthoseexpresslycontainedherein;thatthetermsofthisLoanForgivenandGeneralReleaseAgreementarefullyunderstoodandvoluntarilyacceptedforthepurposeof makingafullandfinalsettlementofanyandallClaimsrelatedtotheLoan.
ThisLoanForgivenandGeneralReleaseAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheUnitedStates.ThisLoanForgivenandGeneralReleaseAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedtobeanoriginalhereof.
INWITNESSWHEREOF,intendingtobelegallybound,theundersignedhave dulyexecutedthisMutualGeneralReleaseeffectiveasofthisJuly4,2014.
