Renavotio, Inc., a Nevada Corporation, is referred to herein as “we”, “our”, or “us”.
Item 1.01 Entry into a Material Definitive Agreement
On October 28, 2020 (“Issue Date”), we, as the Borrower, entered into a Convertible Promissory Note and related Note Purchase Agreement with Quick Capital, LLC (the “Lender”), a Wyoming Limited Liability Company, for the principal sum of $112,500 and an original issue discount of $10,000 (“OID”) at 10% per annum and a maturity date of 9 months from the Issue Date. The cash consideration delivered to the borrower at closing considering the OID is $100,000. The Convertible Promissory Note provides for a fixed conversion price of $0.12. The agreements are subject to various representations and warranties by the Borrower and the Lender.
