Explanation of Responses:

1. These shares are held in the accounts of private investment fund clients of Bulldog Investors. The Reporting Person is a Principal of Bulldog Investors. Bulldog Investors is no longer deemed to have a pecuniary interest in such shares as of January 2, 2019 and as a result such shares will no longer be reported on the Reporting Person's Form 4.

2. Shares are held by certain private investment funds. The Reporting Person is a Principal of the general partner and/or investment advisor of each fund, and is a limited partner in certain funds. The Reporting Person disclaims beneficial interest in such shares except to the extent of any pecuniary interest therein.
