1. Represents shares earned upon the satisfaction of the performance criteria under the Company's 2018-2020 Long-Term Incentive Plan.

2. Reflects restricted stock units granted pursuant to the terms of the Company's Omnibus Incentive Plan that will vest ratably over a three year period beginning on the anniversary of the grant date, which was March 7, 2021.

3. Shares withheld to cover tax liability associated with the vesting of restricted stock units.
