Explanation of Responses:

1. Represents common shares surrendered by the reporting person to STFC (or disposed to the issuer thereiof) for payment of tax liability incident to a prior stock award of 776 common shares which vested on March 4, 2019. Prior thereto, such disposition to the issuer had been approved by the STFC Compensation Committee pursuant to Rule 16-b-3 (e) and is therefore exempt from the provisions of Section 16(b) of the Securites Exchange Act of 1934. The price per share of $ 34.29 represents the closing price of STFC's common shares on March 4, 2019.

2. Includes the following acquisitions: 53.964 shares acquired in June 2018 and 323.497 shares acquired in December 2018 under the State Auto Financial Corporation Employee Stock Purchase Plan; Also includes 2.92 shares acquired in March, 2018, 2.84 shares acquired in June, 2018 and 5.30 shares acquired in December, 2018 as Restricted Dividend Reinvestment.
