On November 7, 2013, Sprouts Farmers Market, Inc. (the “Company”) issued a press release announcing that the Company has filed a Registration Statement on Form S-1 with the Securities and Exchange Commission in connection with the proposed sale in an underwritten offering of up to 22,500,000 shares of its common stock by affiliates of Apollo Global Management, LLC and certain other stockholders of the Company (collectively, the “Selling Stockholders”). The Company is not selling any shares, and the Selling Stockholders will receive all of the proceeds from the offering. A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
