Explanation of Responses:

1. The Reporting Person disposed of 27,666 shares to the Issuer to satisfy the Reporting Person's tax withholding obligations in connection with the shares of restricted stock that vested on the effective date of the merger with Two Harbors Investment Corp. ("Two Harbors") as a result of the change of control of the Issuer, pursuant to the terms and conditions of Stock Award Agreements by and between the Issuer and the Reporting Person.

2. Disposed of pursuant to merger agreement between Issuer and Two Harbors in exchange for 42,834 shares of Two Harbors' common stock having a market value of $15.50 per share on the effective date of the merger.
