2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $49.35 to $49.60 inclusive. The reporting person undertakes to provide Gaming and Leisure Properties, Inc., any security holder of Gaming and Leisure Properties, Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in the footnote to this Form 4.

3. Represents units of limited partnership interests ("LTIP Units") in GLP Capital, L.P. The LTIP Units will vest and become nonforfeitable ratably over the three-year period beginning on the date of grant, subject to the reporting person's continued service and have no expiration date.
