EXPLANATORY NOTE

This Registration Statement on Form S-8 is being filed with the Securities and Exchange Commission (the “Commission”) for the purpose of registering an aggregate of an additional 4,715,194 shares of common stock of the Registrant issuable under the following employee benefit plans for which registration statements (File Nos. 333-227762, 333-236807, 333-253733 and 333-263105) of the Registrant on Form S-8 (the “Registration Statements”) are effective: (i) the Guardant Health, Inc. 2018 Incentive Award Plan which, as a result of the operation of an automatic annual increase provision therein, added 3,689,000 shares of common stock and (ii) the Guardant Health, Inc. 2018 Employee Stock Purchase Plan which, as a result of the operation of an automatic annual increase provision therein, added 1,026,194 shares of common stock.
