2. The restricted stock units will vest ratably, in annual installments of 1/3 over three years, beginning on February 8, 2017.

3. Total includes restricted stock units that were previously reported and which are subject to different vesting schedules.

4. The restricted stock units will cliff vest on February 8, 2017.

5. One-third of the 3,196 restricted stock units granted to the reporting person on February 9, 2015 vest on each of the first three anniversary dates of the grant date.
