Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 8, 2024, the Board of Directors (the “Board”) of Investcorp Credit Management BDC, Inc. (the “Company”) accepted the resignation of Rocco DelGuercio from his positions as Chief Financial Officer, Chief Compliance Officer, Treasurer and Secretary of the Company, effective March 31, 2024. Mr. DelGuercio’s resignation is not a result of any disagreement with the Company on any matter relating to its operations, policies, or practices, or to any issues regarding its accounting policies or practices.
On February 8, 2024, the Board appointed Peter Sattelmair as Chief Financial Officer of the Company, effective March 31, 2024.
Mr. Sattelmair, 46, currently serves as a Director at PINE Advisor Solutions (“PINE”) and has nearly 25 years in the financial services and asset management industries. Prior to PINE, he spent the previous 7 years at Transamerica Asset Management where he served as the Director of Fund Operations and Assistant Treasurer of a wide range of registered products with assets under management of $80+ billion. In his roles at Transamerica Asset Management, Mr. Sattelmair was responsible for the oversight of all aspects of the funds including fund accounting, custody, fund administration, valuation, and oversight of third-party vendors.
There is no arrangement or understanding between Mr. Sattelmair and any other person pursuant to which he was appointed as Chief Financial Officer of the Company. The Company does not pay cash compensation or provide other benefits directly to Mr. Sattelmair or to any of its other executive officers. Further, with regard to Mr. Sattelmair, there are no transactions since the beginning of the Company’s last fiscal year, or any currently proposed transaction, in which the Company is a participant that would require disclosure under Item 404(a) of Regulation S-K promulgated by the Securities and Exchange Commission.
