EXPLANATORY NOTE

Home Bancorp Wisconsin, Inc. is a bank holding company and the class of securities to which this Registration Statement relates is held by fewer than 1,200 shareholders of record.  This Post-Effective Amendment No. 1 to the Registration Statement (File No. 333-196724) (the "Registration Statement") is filed for the sole purpose of removing from registration any unissued shares of the Registrant's common stock and related plan interests previously registered under the Registration Statement relating to the Home Savings Bank 401(k).
