(c)(1) Aggregate consideration for which the securities were issued and basis for computing the amount thereof.	The Class B Units issued to TriStone Realty Management, LLC ("TriStone") were issued in connection with a negotiated joint venture transaction in which TriStone contributed its assets to Allegiancy Houston, LLC, a subsidiary of the issuer in which the issuer owns a 70% economic interest, in consideration, in part, for the issuance of the 128,600 Class B Units to TriStone. The issuer and TriStone valued the aggregate Class B Units issued to TriStone at $1,284,881.50, or approximately $9.91 per Class B Unit. The Class B Units received by Tristone will be converted into common stock of Allegiancy, Inc. upon the conversion of Allegiancy, LLC into Allegiancy, Inc.
(2) Aggregate consideration for which the securities listed in (b)(3) of this item (if any) were issued and the basis for computing the amount thereof (if different from the basis described in (c)(1)).
