(the “Company”) in making presentations to certain existing and potential stockholders of the Company with respect to the proposed acquisition (the “Business Combination”) of Jason Partners Holdings Inc. (“Jason”) pursuant to the terms of that certain Stock Purchase Agreement (the “Purchase Agreement”) by and among the Company, JPHI Holdings Inc., a wholly owned subsidiary of the Company, Jason Partners Holdings LLC, and Jason.
