Explanation of Responses:

1. The time-vesting restricted stock units vest in equal one-third (1/3) installments on each of the first three (3) anniversaries following March 23, 2019, provided that the reporting person has not been terminated prior to the applicable vesting date.

2. The time-vesting restricted stock units vest in equal one-third (1/3) installments on each of the first three (3) anniversaries following March 23, 2018, provided that the reporting person has not been terminated prior to the applicable vesting date.

3. The cliff-vesting restricted stock units vest on the third anniversary of the applicable grant date, provided that the reporting person has not been terminated or the restricted stock units have not previously been forfeited prior to the vesting date.

4. The time-vesting restricted stock units vest in two equal installments with the first vesting date being January 5, 2019 and the second vesting date being July 5, 2020, provided that the reporting person has not been terminated prior to the applicable vesting date.

5. The time-vesting restricted stock units vest in equal one-third (1/3) installments on each of the first three (3) anniversaries following April 27, 2016, provided that the reporting person has not been terminated prior to the applicable vesting date.

Remarks:

This amendment is being filed to report the Restricted Stock Units granted to the reporting person on March 23, 2019.
