On September 13, 2019, the Board of Directors (the “Board”) of New Media Investment Group Inc. (the “Company”) increased the size of the Board to six (6) members and appointed Mayur Gupta and Maria M. Miller as independent directors of the Company, effective October 1, 2019.
As of the date hereof, neither Mr. Gupta nor Ms. Miller has been appointed to any committee of the Board. The appointments of Mr. Gupta and Ms. Miller were not made pursuant to any arrangement or understanding between either of them and any other person, and neither has entered into (or proposed to enter into) any transactions required to be reported under Item 404(a) of Regulation S-K.
Mr. Gupta and Ms. Miller will receive the standard annual Board compensation for non-employee directors for 2019 (pro rated based on the effective date of their appointments). Standard annual Board compensation for 2019 is described in the Company’s Definitive Proxy Statement on Schedule 14A, filed with the U.S. Securities and Exchange Commission on April 12, 2019.
