Explanation of Responses:

1. Restricted Stock Units ("RSUs"). The Reporting Person is entitled to one (1) share of common stock for each one (1) RSU upon the vesting thereof. The RSUs will vest 1/4th on each annual anniversary of the vesting commencement date of July 15, 2015.

2. Stock options vest 6/48ths on the six month anniversary of vesting commencement date from July 15, 2015 and 1/48th per month thereafter.
