Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Appointment of Director
On December 28, 2020, the Board appointed Mary Dotz to its Board of Directors and as a member of the Audit Committee of the Board.
There is no arrangement or understanding between Ms. Dotz and any other persons pursuant to which Ms. Dotz was elected as a director. There are no family relationships between Ms. Dotz and any director or executive officer of the Company, and she has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
Ms. Dotz will enter into the Company’s standard form of indemnification agreement, a copy of which has been filed as Exhibit 10.1 to the Company’s Registration Statement on Form S-1 (File No. 333-194015) filed with the SEC on March 10, 2014. In addition, Ms. Dotz will be compensated for her service on the Board in accordance with the Company’s standard compensation policy for non-employee directors.
