On August 1, 2019, the Company announced that it finalized its previously disclosed settlement with the Securities and Exchange Commission (the “SEC”). As disclosed in February 2019, the Company reached an agreement in principle with the staff of the SEC with respect to non-GAAP financial reporting matters that occurred prior to 2016 under the Company’s former management team.
Consistent with the preliminary agreement with the SEC staff, the final agreement with the SEC provides for, among other things, (i) the Company consenting to a cease and desist order, without admitting or denying the findings therein, with respect to violations of Sections 10(b) and 13(a) of the Securities Exchange Act of 1934, certain related rules and Rule 100(b) of Regulation G and (ii) the payment of a civil penalty of $7.0 million. As of June 30, 2019, the $7.0 million contingent liability is included in Accounts payable, accrued expenses and other liabilities in the Company’s unaudited Condensed Consolidated Balance Sheets. The settlement includes a Company commitment to engage an independent consultant to assess the Company’s current policies and procedures relating to certain non-GAAP performance measures.
The Company believes that no additional government proceedings relating to these matters will be brought against the Company. This regulatory settlement follows the previously disclosed resolution of all related shareholder litigation. The Company understands that the SEC and SDNY have announced actions relating to these matters with respect to certain former employees.
This Current Report on Form 8-K contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. These statements include, but are not limited to, statements related to the Company’s expectations regarding whether any additional government proceedings relating to these matters will be brought against the Company and other non-historical statements. Such forward-looking statements are subject to various risks and uncertainties, including that future settlements or damages awarded in a lawsuit related to the matters discussed above will exceed the coverage amount of the Company’s applicable insurance policies, and those described under the section entitled “Risk Factors” in the Company’s Annual Report on Form 10-K for the year ended December 31, 2018, as such factors may be updated from time to time in the Company’s periodic filings with the Securities and Exchange Commission (the “SEC”), which are accessible on the SEC’s website at www.sec.gov. Accordingly, there are or will be important factors that could cause actual outcomes or results to differ materially from those indicated in these statements. The Company undertakes no obligation to publicly update or review any forward-looking statement, whether as a result of new information, future developments or otherwise, except as required by law.
