Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 11, 2022, the Board of Directors (the “Board”) of RE/MAX Holdings, Inc. (the “Company”) appointed Adam Grosshans as Vice President and Chief Accounting Officer and as the Company’s principal accounting officer, effective May 13, 2022.
Mr. Grosshans, 44, has served as the Company’s Executive Director, Financial Reporting since July 2021, and prior to that as Director, Financial Reporting from May 2019. He brings nearly 20 years of accounting experience, mostly with public companies. Prior to joining the Company, Mr. Grosshans was Director, Technical Accounting at Western Union Business Solutions, a division of Western Union, a position he held from 2017 until he joined the Company.
There are no related party transactions between Mr. Grosshans and the Company as defined in Item 404(a) of Regulation S-K. There are no family relationships between Mr. Grosshans and any director, executive officer or person nominated or chosen to be a director or executive officer of the Company.
