On July 17, 2018, Phillips Edison Grocery Center REIT II, Inc. (“PE REIT II”) entered into a definitive merger agreement (the “Merger Agreement”) with Phillips Edison & Company, Inc. (“PECO”) in a 100%stock-for-stock transaction valued at approximately $1.9 billion. In connection with entry into the Merger Agreement, certain investor communications were prepared and are filed herewith.
PE REIT II prepared a script to accompany an investor presentation regarding the Merger Agreement, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The related presentation was given to PE REIT II investors on July 19, 2018 at 11:00 a.m. Eastern Time and was filed as Exhibit 99.4 to PE REIT II’s Current Report on Form8-K filed on July 18, 2018.
