Explanation of Responses:

1. Grant of Restricted Stock that vests as follows: 60,000 that vests in full, immediately, and 20,000 that vests on each of October 18, 2017, October 17, 2018 and October 16, 2019.

2. Sale of shares to cover tax withholding obligations on the vesting of restricted shares pursuant to a 10b5-1 plan dated October 11, 2016.

3. Consists of 229,126 shares held directly; 23,000 restricted shares of Class B Common Stock that vest on February 1, 2017 and 60,000 restricted shares of Class B Common Stock that vest as follows: 20,000 on each of October 18, 2017, October 17, 2018 and October 16, 2019.

4. These shares were previously reported as directly beneficially owned but were contributed to a grantor retained annuity trust on June 20, 2016.
