Explanation of Responses:

1. Mr. Branton is a 20% interest holder of MB Merchant Group, LLC, which in turn is a 45.85% owner of MB Technology Holdings, LLC ("MBTH"). MBTH acquired the 154,321 shares of the Company's common stock disclosed above upon exercising a warrant to purchase common stock in an amount equal to $250,000 at an exercise price of $1.62 per share.
